The Competition Council has opened an in-depth investigation into the economic acquisition whereby the undertaking „Moldretail Group” SRL intends to take full control over „Fourchette-M SRL”.

The transaction was notified to the competition authority on 26 April 2024 and aims to acquire 100% of the shares of „Fourchette-M” SRL, which owns the food store networks „Fourchette” and         „To-To”. The „Moldretail Group” operates under the brands „Linella”, „Fidesco”, „Cip Market”, „Bravo” and „Slavena Megamarket”.

The investigation was initiated following concerns related to potential negative effects on competition in the markets for purchasing and retailing food products. In particular, the competition authority shall consider whether this transaction could lead to the creation or consolidation of the dominant position in those markets, thereby affecting competition and access by suppliers.

The Competition Council”s preliminary competition concerns:

  • Possible abuse of dominant position: Competition Council is concerned that the transaction could lead to the creation or consolidation of a dominant position in the market for the supply of commercial food networks, this could reduce competition and affect prices.
  • Risk for suppliers: The Authority is concerned that the transaction could close down the outlets for suppliers cooperating with Fourchette and not with the retail networks of the Moldretail Group.
  • Creation/Consolidation of a dominant position in some geographical areas: Competition Council found that within some geographical areas (within 10/30 minute walking isochron range), Moldretail Group could obtain or strengthen its dominant position in the retail market of predominantly food products.
  • Impact on competition: The Competition Council’s preliminary investigation indicates that the transaction may lead to greater concentration in some markets, and the competition authority will assess in-depth the impact on them using relevant economic indicators.

According to the legal procedure, the investigation will take up to 90 working days.

It is worth to mention, that opening of an in-depth inquire does not prejudge the outcome of the investigation, but rather reflects the concerns of the competition authority regarding the potential impact of the transaction on the competitive market. The results of the investigation will be communicated in addition.

In order to address concerns regarding compatibility with a normal competitive environment, the company ,,Moldretail Group” SRL is entitled to apply to commitments in accordance with the Regulation on acceptance of commitments proposed by undertakings no. 2 as of 22.01.2015.
